Fabiola Hutagalung is a Partner with HANAFIAH PONGGAWA & PARTNERS (HPRP). After she graduated from her study in the Universitas Indonesia with a degree in law (S.H.), Fabiola joined HPRP in 1996 and became a Partner in 2008.
Fabiola is a very experienced corporate lawyer with an in-depth knowledge of M&A, restructuring, spin-offs, foreign direct investment (FDI), joint ventures (JV), banking and finance including financing and sharia activities and also real property matters.
Fabiola has played a leading role in a wide range of significant transactions involving both domestic and international corporations, among others representing PT Bank Rakyat Indonesia (Persero), Tbk. (Bank BRI), PT Bank Negara Indonesia (Persero), Tbk. (Bank BNI), and PT Bank Pembangunan Daerah Jawa Barat dan Banten (Bank BJB) in the spin-off of sharia business units followed by the incorporation of PT Bank BRI Syariah, PT Bank BNI Syariah, and PT Bank BJB Syariah. She has also represented PT Pupuk Sriwidjaja (Persero) – now known as PT Pupuk Indonesia (Persero) — in its restructuring by way of spinning-off its assets and liabilities related to operational production and the distribution of fertilizer and establishing PT Pupuk Sriwidjaja Palembang.
Fabiola also advises clients on various industries such as banks and financial institutions, plantations, steel, telecommunications, and also consumer products and entertainment industries. Among significant engagements, Fabiola has assisted Bank Indonesia in its subsidiary restructuring, CJ Corporation – Korea on investment, Nanjing Iron and Steel Co. Ltd. – PRC on acquisition, legal assistance for PT Siemens Indonesia and DSN (Dharma Satya Nusantara) Group in their business operation, as well as PT Bank KEB Indonesia, Fujitec Group, Parna Raya Group, Tudung Group, and Kensington Group.
Fabiola is a registered Advocate in PERADI (Indonesian Advocate Association) allowing her to practice litigation within the territory of the Republic of Indonesia and is also registered in the Indonesian Financial Services Authority (OJK / Otoritas Jasa Keuangan – previously known as BAPEPAM-LK / Capital Market and Financial Institutions Supervisory Board) as Indonesian Capital Market Legal Counsel.
Fabiola is also active in forums, seminars, and workshops where she is invited to speak and discuss various legal matters such as company law, corporate law, and wealth services.
International recognition of Fabiola’s talents is provided by the International Financial Law Review (IFLR1000) which recommends her as a “Leading Lawyer” in the 2015, 2016, and 2017 editions for Financial Services Regulatory as well as Mergers and Acquisitions practices.
